AME Group Terms of Use

	AME Group, Inc. ("AME Group") Private Account is offered to you conditioned on your acceptance without modification of the terms, provisions, conditions, and limitations set forth herein. Your opening of an account and use of the services of AME Group (the "Services" or "Service") offered at its Internet site (the "Site") constitute your unconditional agreement to all such terms, provisions, conditions, and limitations.

	Member Accounts, Passwords and Security In order to open an account, you must provide AME Group with complete, accurate and current General Information and Contact Information as requested by the Checkout Counter page. You agree that you are entirely responsible for maintaining the confidentiality of the password used to access your account and that you will not provide it to unauthorized users. Moreover, you are entirely responsible for any and all activities that occur as a result of the use of your account. You agree to notify AME Group immediately of any unauthorized use of your account or any other breach of security. AME Group will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you may be held liable for losses incurred by AME Group, persons from whom AME Group licenses tests and/or services, or other persons due to unauthorized use of your account or password. You agree not to use, directly or indirectly, anyone else's account at any time, without the permission of the account holder.
	Modification of These Terms of Use AME Group reserves the right to modify and/or amend the terms, provisions, conditions, and limitations under which the account and Services are offered. You are responsible for regularly reviewing the terms, provisions, conditions, and limitations posted herein. Your continued use of the Services constitutes your agreement to all such terms, provisions, conditions, and limitations.
	Commercial Use Limitaiton You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from AME Group or appearing at the Site.

	Unlawful and Prohibtied Use As a condition of your use of your account and services, you agree to refrain from any use or conduct that is unlawful, illegal, or prohibited by these terms, provisions, conditions, and limitations. You may not use your account or services in any manner that could damage, disable, overburden, or impair the Site, any Service, or another account or interfere with any other person's use and enjoyment of any Service or another account. 	General The provisions of this Agreement shall be governed by and interpreted in accordance with the laws of the State of Colorado. The parties hereby designate all courts of record sitting in Colorado Springs, Colorado, both state and federal, as forums where any action, suit or proceeding in respect of or arising out of this Agreement or the transactions contemplated by this Agreement may be prosecuted as to all parties, their successors and assigns, and by the foregoing designation the parties consent to the jurisdiction and venue of such courts. Use of the Services, the Site and/or your account is unauthorized in any jurisdiction that does not give effect to the terms and provisions of this Agreement, including without limitation, the choice of law and venue provisions contained herein. You agree that neither this Agreement nor your use of the Services, the Site and/or your account shall give rise to any joint venture, partnership, employment, or agency relationship between you and AME Group. Any provision of this Agreement which is prohibited and unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provision in any other jurisdiction. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. This Agreement shall constitute the entire Agreement of the parties in respect of the subject matter hereof and supersedes any other written or oral communications among the parties. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
